Whenever we refer to "My Joyfullday" in this document, we are referring to the tools you use to create, publish, and manage your event websites, guest lists, RSVPs, galleries, vendor interactions, and related features.

By accessing or using My Joyfullday, you agree to:

• Be bound by these Terms and our Privacy Policy. This means you accept the rules set out here, including how we handle your data, what we expect from you as a host or guest, and how we resolve any disputes. • Comply with all applicable laws and regulations in your country and the countries where your events or guests are located. For example, you are responsible for ensuring that your event content, invitations, and communications comply with local privacy, consumer protection, and anti-spam laws. • Be at least 16 years of age or have valid parental/guardian consent to use the Platform. If you organize events involving minors (such as children’s birthdays or baby showers), you must ensure that you have the right to share the information you upload. • Have the legal capacity to enter into binding agreements. If you are using My Joyfullday on behalf of a business or organization (such as an event planning agency or venue), you confirm that you are authorized to agree to these Terms on that entity’s behalf.

If you do not agree to these Terms:

• You must not access or use our Platform, including creating an account, publishing event websites, or using any of our tools. • Any existing accounts should be deactivated using the account settings or by contacting our support team. This ensures we stop processing your data except where we must retain it for legal or accounting reasons. • You should contact us to request deletion of your personal data where applicable. We will guide you through our data deletion process and explain what can and cannot be removed (for example, payment records we must keep for tax or compliance).

We reserve the right to modify these Terms at any time to reflect changes in our services, legal obligations, or business practices. If we make significant changes (for example, how long free event websites remain active, or how our vendor marketplace operates), we will notify you through email or in-product notices. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

2. Account Registration & Security

To access certain features of My Joyfullday – such as creating event websites, managing guests, or using the vendor marketplace – you must create an account. Your account is the central place where we tie your events, billing, and communications together.

Account Requirements:

• Provide accurate, current, and complete information, including a valid email address and phone number. We use these to send you important messages such as verification codes, security alerts, event publication confirmations, and expiry reminders. • Maintain and promptly update your account information if your name, email, phone number, or other key details change, so that notifications about your events and billing reach you reliably. • Create a secure password and keep it confidential. Your password should be unique to My Joyfullday and not reused across other websites. Strong passwords help protect your guest lists, invitations, and private event information from unauthorized access. • Notify us immediately of any unauthorized access or suspicious activity on your account, such as logins you do not recognize, changes to your events you did not make, or unexpected emails about account actions.

Account Responsibilities:

• You are responsible for all activities that occur under your account, including events created, invitations sent, vendor inquiries made, and content uploaded. If you delegate tasks to collaborators, you remain ultimately responsible for how your account is used. • Do not share your login credentials with others, including vendors or guests. If you need help from others, use built-in collaboration features where available rather than sharing your password. • Do not create multiple accounts for deceptive or abusive purposes (for example, to circumvent event limits, trial restrictions, or referral rules). We may link accounts that clearly belong to the same person or entity for fraud prevention. • You must be authorized to use the email address provided. If you sign up on behalf of a company or team, ensure that you have permission to receive business communications at that address.

Account Termination:

• You may delete your account at any time through the account settings. Deleting your account will typically deactivate your event websites and remove your login access. • We may suspend or terminate accounts that violate these Terms, misuse the Platform (for example, by hosting illegal content or sending spam invitations), or pose a security or legal risk. • Termination does not relieve you of obligations incurred prior to termination, such as outstanding subscription charges or amounts owed to vendors. • Some data may be retained as required by law or for legitimate business purposes (for example, records of payments, logs necessary to investigate abuse, or anonymized analytics).

3. Description of Services

My Joyfullday provides an online platform for creating, managing, and sharing event websites and related services. This includes the tools you use to design your event pages, collect RSVPs, manage guests, collaborate with vendors, and share information with attendees before, during, and after your celebration.

Core Services Include:

• Event website creation with customizable templates tailored to different event types (such as weddings, birthdays, graduations, and baby showers). You can personalize text, images, sections, colors, and layout to match your event’s tone and branding. • RSVP and guest list management, including the ability to invite guests via links or messages, track who has responded, control plus-ones, and view RSVP submissions per event in a structured dashboard. • Gift registry and contribution tracking, where you can showcase gift ideas or custom contribution options, record what guests have pledged or given, and keep a record for thank-you messages. • Photo gallery and media sharing, allowing you to upload images and, where supported, embed media that guests can view on your event website or after the event in recap sections. • Event scheduling and timeline management, enabling you to create detailed itineraries for ceremonies, receptions, afterparties, and other key moments so that guests know what will happen and when. • Invitation card generation and distribution tools, such as digital invitation templates, shareable links, and QR codes that guests can use to access your event website and RSVP pages. • Vendor marketplace and booking services that help you discover, evaluate, and contact vendors (such as photographers, caterers, venues, DJs, and planners), send inquiries, and track bookings or responses.

Service Availability:

• We strive for high availability and responsiveness, but we do not guarantee uninterrupted or error-free access. There may be rare instances where your event website or dashboard is temporarily unavailable due to maintenance, provider issues, or unforeseen incidents. • Scheduled maintenance may temporarily affect availability. Where possible, we will schedule maintenance during off-peak hours and provide advance notice through status pages or in-app messages. • We may modify, suspend, or discontinue features with prior notice when feasible. For example, we may deprecate a specific template or integration that is no longer supported, while providing alternatives. • Free features may be limited or changed at our discretion, especially if we need to maintain platform performance or align free usage with sustainable business operations.

Event Website Availability & Inactivity:

• Your event website is intended to remain available through your celebration so that guests can access details, RSVP, and revisit information as needed. • On the Free tier, event websites may be automatically deactivated after the event date, including any grace period described on the Platform. For example, a free wedding site may remain live for a limited period (such as 7 days) after the wedding date before becoming inactive. • On paid subscription plans, event websites generally remain active as long as your subscription is valid and in good standing. If your subscription ends, some or all of your event websites may become inactive until you renew. • If your subscription ends or payments fail, we may suspend or deactivate access to paid features and event websites until the subscription is renewed or the billing issue is resolved. We will typically notify you in advance of deactivation where practical.

Fair Use:

• Unlimited or high-volume usage is subject to fair-use policies designed to ensure platform stability for all users. For example, extremely high numbers of events, guests, or file uploads may trigger soft limits, require plan upgrades, or result in rate limiting. • We may restrict automated or abusive behaviors, such as mass-scraping, bulk unsolicited messages, or overwhelming API calls, to protect the performance and reliability of the Platform.

Third-Party Integrations:

• Some features rely on third-party services (such as email providers, payment processors, map services, analytics tools, or WhatsApp/Facebook messaging APIs). When these services experience downtime or changes, certain features in My Joyfullday may be temporarily affected. • We are not responsible for third-party service interruptions, failures, or policy changes, but we will make reasonable efforts to mitigate impact and communicate significant disruptions where we can. • Third-party terms and privacy policies may apply when you use features that integrate with external services (for example, connecting a payment provider, using a messaging integration, or embedding media). You are responsible for reviewing and complying with those third-party terms.

4. User Content & Conduct

You retain ownership of all content you upload to My Joyfullday, including event descriptions, photos, guest lists, RSVP responses, vendor reviews, and any other materials you create or share through our Platform. However, to enable My Joyfullday to function properly, you grant us certain limited rights to use your content in ways that are necessary to deliver our services.

License Grant:

When you upload content to My Joyfullday – such as event photos for your gallery, text for your event pages, guest information for RSVP management, or vendor inquiries – you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute that content solely for the purpose of providing and improving our services. This means we can host your event websites, send invitations on your behalf, display your photos to guests you authorize, process RSVPs, and make your content accessible through the features you enable. This license continues until you delete your content or account, at which point we will remove your content from active use (though some data may remain in backups for a limited period as described in our Privacy Policy). We do not claim ownership of your content, and you remain free to use your content elsewhere or remove it from My Joyfullday at any time.

Content Standards - You agree NOT to upload content that:

You are responsible for ensuring that all content you upload, share, or distribute through My Joyfullday complies with applicable laws and does not infringe on the rights of others. Specifically, you agree not to upload content that infringes intellectual property rights of others, such as using copyrighted music, images, or text without proper authorization (for example, using a photographer’s wedding photos without permission, or copying invitation designs from other services). You must not upload content that contains illegal, harmful, or offensive material, such as content promoting illegal activities, hate speech, or violence. You must not include malware, viruses, or malicious code that could harm other users’ devices or our systems. You must not violate privacy rights or include personal data without consent – for instance, you should not upload photos of guests who have not consented to be featured, or share contact information of people who have not agreed to be contacted. You must not upload content that is fraudulent, deceptive, or misleading, such as fake event listings, false vendor reviews, or misleading gift registry information. You must not promote discrimination, hatred, or violence against individuals or groups based on race, religion, gender, sexual orientation, or other protected characteristics. If you include explicit adult content, you must ensure proper age restrictions are in place and that such content is only accessible to appropriate audiences.

Conduct Standards - You agree NOT to:

Beyond content restrictions, you must use My Joyfullday in a lawful and respectful manner. You agree not to use the Platform for any illegal purpose, such as organizing illegal events, facilitating fraud, or violating local regulations. You must not harass, bully, or intimidate other users, vendors, or guests through messages, reviews, or any other communication channels on the Platform. You must not impersonate any person or entity, including creating fake accounts, pretending to be a vendor you are not, or misrepresenting your identity when contacting guests or vendors. You must not interfere with the Platform’s operation or security, such as attempting to hack our systems, overload our servers, or disrupt service for other users. You must not scrape, crawl, or collect data from My Joyfullday without our explicit written permission, as automated data collection can harm platform performance and violate the privacy of other users. You must not circumvent any access controls or usage limits we implement, such as creating multiple accounts to bypass event limits, using technical workarounds to access premium features without payment, or manipulating our systems to avoid fair usage restrictions.

5. Payments & Billing

While My Joyfullday offers a free tier that allows you to create and publish basic event websites, certain advanced features, extended availability periods, premium templates, enhanced customization options, and priority support require payment of subscription fees. Our pricing structure is designed to provide flexibility for different types of users, from individuals planning personal celebrations to professional event planners managing multiple events.

Subscription Plans:

We offer a free tier with limited features that allows you to create event websites, manage basic RSVPs, and share your events with guests, though free event websites may be automatically deactivated after your event date or after a grace period. Premium plans provide enhanced features such as extended website availability, advanced customization options, priority customer support, access to premium templates, increased storage for photos and media, and the ability to manage multiple events simultaneously. Enterprise plans are available for businesses, event planning agencies, or organizations that need custom pricing, dedicated support, service level agreements (SLAs), bulk event management capabilities, and tailored features. Pricing is displayed in your local currency where available, and we use third-party payment processors to handle transactions securely.

Payment Terms:

Subscription fees are charged in advance on a monthly or annual basis, depending on the plan you select. For example, if you choose a monthly premium plan, you will be charged at the beginning of each billing cycle, and if you choose an annual plan, you will be charged once per year. All fees are non-refundable unless otherwise stated in our refund policy or required by applicable law. By providing a payment method, you authorize us to charge your payment method automatically for recurring subscription fees, renewal fees, and any additional charges you incur (such as overage fees for storage or features beyond your plan limits). If a payment fails – for example, due to an expired card, insufficient funds, or a declined transaction – we will attempt to notify you and retry the payment. Continued payment failures may result in service suspension, deactivation of your event websites, or termination of your subscription until payment is successfully processed.

Price Changes:

We reserve the right to change our pricing at any time to reflect changes in our costs, market conditions, or service offerings. If we increase prices for existing subscription plans, we will provide you with at least 30 days' advance notice via email or through in-app notifications. Price increases do not apply to your current billing period – for example, if you are on a monthly subscription and we announce a price increase, you will continue paying your current rate until your next billing cycle begins. If you do not wish to accept the new pricing, you may cancel your subscription before the new pricing takes effect, and your subscription will remain active until the end of your current billing period.

Refund Policy:

For annual subscriptions, we offer a pro-rated refund within 30 days of your initial purchase if you are not satisfied with the service, calculated based on the remaining unused portion of your subscription period. For monthly subscriptions, we do not provide refunds for partial months, as monthly plans are billed and activated for full calendar months. All refunds, when applicable, are processed to the original payment method used for the purchase, and processing may take 5-10 business days depending on your financial institution. If you initiate a chargeback (disputing a charge with your bank or credit card company) without first contacting us to resolve the issue, we may suspend or terminate your account, as chargebacks can indicate fraudulent activity or abuse of our refund process.

Gift Contributions:

If you enable gift registry or contribution features on your event website, platform fees may apply to transactions processed through My Joyfullday. These fees help cover payment processing costs, platform maintenance, and fraud prevention measures. We are not responsible for gift fulfillment disputes between hosts and guests – for example, if a guest claims they sent a gift but the host did not receive it, or if there is a disagreement about the amount or type of contribution. Contribution refunds are handled directly between the parties involved (the guest who contributed and the host who received the contribution), and My Joyfullday does not mediate or guarantee refunds for gift contributions unless required by law or our specific refund policy for platform fees.

6. Intellectual Property Rights

My Joyfullday and all of its content, features, and functionality are protected by intellectual property laws, including copyright, trademark, patent, and trade secret laws. This section clarifies what belongs to My Joyfullday, what belongs to you, and how you can use our intellectual property.

Our Intellectual Property:

The Platform itself, including its design, code, features, user interface, algorithms, and underlying technology, is owned by My Joyfullday Inc. and its licensors. This includes the event website builder interface, RSVP management system, guest list tools, vendor marketplace functionality, analytics dashboards, and all other features we develop. Our trademarks, logos, brand names (including "My Joyfullday"), taglines, and other brand elements are protected by trademark law and may not be used without our prior written consent. The event website templates, design assets, icons, graphics, and other creative materials we provide are licensed to you for use on My Joyfullday, not sold – meaning you can use them to create your event websites, but you do not own the templates themselves. You may not copy, modify, reverse engineer, decompile, or distribute our proprietary content, code, or design assets outside of the intended use on My Joyfullday, as doing so would violate our intellectual property rights and potentially harm our business.

Your Intellectual Property:

You retain all ownership rights to content you create and upload to My Joyfullday, such as your event descriptions, custom text, photos you took or own, videos you created, guest lists you compiled, and any original content you add to your event websites. When you upload content, you represent and warrant that you have the necessary rights, licenses, or permissions to use and share that content on My Joyfullday – for example, if you upload photos taken by a professional photographer, you must have obtained permission or a license from the photographer to use those photos on your event website. You are responsible for any intellectual property claims that arise from content you submit, meaning that if someone claims that content you uploaded infringes their copyright, trademark, or other rights, you (not My Joyfullday) are responsible for defending against that claim and any resulting damages, unless the claim relates to our templates or platform features themselves.

Template Usage:

Event website templates provided by My Joyfullday are licensed for use on our Platform only, meaning you can select a template, customize it with your content, and publish it as your event website through My Joyfullday, but you may not extract the template code, design files, or structure for use on other platforms or services. Any custom modifications you make to templates – such as changing colors, adding sections, or rearranging elements – remain subject to the original template licenses, so you cannot claim ownership of the underlying template design even if you customize it extensively. Premium templates, which may include more sophisticated designs, animations, or features, require an active subscription to the appropriate premium plan. If your subscription expires, you may need to switch to a free template or renew your subscription to continue using premium templates.

DMCA & Copyright Claims:

We respect intellectual property rights and expect our users to do the same. If you believe that content on My Joyfullday infringes your copyright or other intellectual property rights, you can report the infringement to us at legal@myjoyfullday.com. When reporting infringement, please provide sufficient detail, including identification of the copyrighted work, the location of the allegedly infringing content on our Platform, your contact information, a statement of good faith belief that the use is not authorized, and a statement that the information in your notice is accurate. We will investigate legitimate claims and take appropriate action, which may include removing or disabling access to the allegedly infringing content, notifying the user who posted it, and potentially terminating the accounts of repeat infringers. We also automatically collect certain technical information when you use My Joyfullday, such as your IP address, browser type, device information, and usage patterns (which pages you visit, which features you use, how long you spend on different sections). We use cookies and similar technologies to maintain your login session, remember your preferences, analyze platform performance, and support security features. We are not responsible for data loss or corruption that may occur due to technical failures, user error, malicious attacks, or other causes beyond our reasonable control. It is your responsibility to maintain backups of important information, such as guest lists, RSVP data, or event content, and to use My Joyfullday in a manner that protects your data.

Limitation of Liability:

To the maximum extent permitted by applicable law, My Joyfullday Inc., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Platform. This includes damages such as lost profits, lost revenue, lost data, business interruption, reputational harm, or emotional distress, even if we have been advised of the possibility of such damages. Our total liability to you for all claims arising out of or relating to these Terms or your use of My Joyfullday shall not exceed the amount you paid to us in the 12 months preceding the claim that gave rise to the liability. My Joyfullday is a platform for creating and managing event websites, but we are not responsible for the actual outcomes of your events, guest behavior, vendor performance, or any issues that arise during or after your celebrations. We provide tools to help you organize and communicate about events, but we do not organize, host, or manage the events themselves. Vendor marketplace transactions, including inquiries, quotes, bookings, payments, and service delivery, are conducted directly between you and the vendors – My Joyfullday facilitates connections and provides a platform for communication, but we do not guarantee vendor quality, reliability, or performance, and we are not a party to vendor contracts. If you have disputes with vendors regarding services, pricing, cancellations, or other matters, you must resolve those disputes directly with the vendors, though we may assist with communication or provide dispute resolution tools where available. Gift contributions made through My Joyfullday are voluntary transactions between guests and hosts – we facilitate the payment processing, but we do not guarantee that contributions will be used as intended, and contribution refunds are handled between the parties involved, not by My Joyfullday.

For example, if you have questions about contracts with vendors, tax implications of gift contributions, liability for event-related incidents, or compliance with local event regulations, you should consult with appropriate professionals such as lawyers, accountants, or event planning experts. We are not liable for decisions you make based on content, features, or information provided through My Joyfullday, as you are responsible for evaluating the suitability of our tools for your specific needs and circumstances.

9. Indemnification

You agree to indemnify, defend, and hold harmless My Joyfullday Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of third parties. This indemnification provision means that if someone brings a claim against My Joyfullday that is related to your actions or content, you will be responsible for covering our costs and any damages we may be required to pay.

Your Indemnification Obligations:

You agree to indemnify us for claims arising from your use of the Platform, including if your use violates applicable laws, infringes on someone's rights, or causes harm to others. You agree to indemnify us for your violation of these Terms, such as if you breach content standards, misuse the Platform, or engage in prohibited conduct. You agree to indemnify us for your violation of any rights of third parties, including intellectual property rights (if you upload copyrighted content without permission), privacy rights (if you share someone's personal information without consent), or other legal rights. You agree to indemnify us for content you submit or share on the Platform, meaning if content you upload (such as photos, text, or guest information) infringes copyrights, violates privacy laws, or causes other legal issues, you are responsible for the consequences. You agree to indemnify us for your interactions with other users or vendors, such as disputes over vendor services, disagreements with guests, or issues arising from how you use our marketplace or communication features. You agree to indemnify us for any event-related disputes or incidents, as My Joyfullday provides tools for event management but is not responsible for what happens at your actual events.

Indemnification Process:

You will cooperate fully in the defense of such claims, including providing information, documents, and testimony that may be necessary to defend against the claim. We may participate in the defense of any claim at our own expense, meaning we can choose to be involved in how the claim is handled, even though you are responsible for the costs. You will not settle any claim that could affect My Joyfullday's rights or interests without our prior written consent, as settlements may have implications beyond just your individual situation.

Survival:

This indemnification obligation survives termination of your account, meaning that even after you stop using My Joyfullday or delete your account, you remain responsible for indemnifying us for claims related to your past use of the Platform. This provision applies to the fullest extent permitted by law, though some jurisdictions may limit the enforceability of certain indemnification clauses, particularly those that require indemnification for a party's own negligence or willful misconduct.

10. Termination

Either you or My Joyfullday may terminate this agreement and your access to the Platform under certain conditions. This section explains how termination works, what happens when your account is terminated, and what rights and obligations continue after termination.

Termination by You:

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation means that your subscription will not renew at the end of your current billing period, but you will continue to have access to paid features until that period expires. You may also delete your account entirely through account settings, which will deactivate your account and remove your login access. When you cancel a subscription, termination of paid features takes effect at the end of the current billing period – for example, if you cancel a monthly subscription on the 15th day of the month, you will retain access until the end of that month, and your subscription will not renew for the following month. You remain responsible for all charges incurred before termination, including subscription fees for the current billing period, overage charges, or any other fees you have accrued.

Termination by Us:

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited conduct, misuse the Platform, or pose a security or legal risk. Examples of violations that may result in immediate termination include uploading illegal content, harassing other users, attempting to hack our systems, or using My Joyfullday for fraudulent purposes. We may also terminate your account with 30 days' advance notice for any reason, such as if we discontinue certain features, change our business model, or need to remove inactive accounts. Immediate termination without notice may occur for serious violations, such as illegal activity, severe abuse of the Platform, or actions that threaten the safety or security of other users or our systems. We may also terminate accounts if required by law, such as in response to a court order, government request, or legal obligation that prevents us from continuing to provide service to you.

Effects of Termination:

When your account is terminated (whether by you or by us), your right to access the Platform immediately ceases, meaning you will no longer be able to log in, create events, manage guests, or use any My Joyfullday features. Your content, including event websites, guest lists, photos, and other uploaded materials, may be deleted after a grace period (typically 30 days for user-initiated deletions, though immediate deletion may occur for accounts terminated for violations). Some provisions of these Terms survive termination and continue to apply even after your account is closed, including intellectual property provisions (our ownership of the Platform, your ownership of your content), indemnification obligations (your responsibility for claims related to your past use), limitation of liability clauses, and dispute resolution procedures. Accrued rights and obligations remain in effect, meaning that if you owed us money at the time of termination, you still owe it, and if we owed you a refund or had other obligations, those remain valid.

Data After Termination:

Before your account is terminated, you may export your data through account settings or by contacting support, allowing you to download your event information, guest lists, RSVP data, and other content in a portable format. We retain certain data as required by law or for legitimate business interests, such as payment records (which we must keep for tax and accounting purposes), security logs (which help us investigate abuse and protect the Platform), and anonymized analytics data (which helps us improve our services). Deleted data may persist in backup systems for up to 90 days after deletion, as backups are maintained for disaster recovery and may not be immediately purged, though backup data is typically not accessible for normal operations and is eventually overwritten.

11. Dispute Resolution

We believe that most disputes can be resolved through open communication and good faith efforts, and we encourage you to contact us directly if you have concerns or issues with My Joyfullday. However, if informal resolution is not possible, we have established formal procedures to handle disputes in a fair and efficient manner.

Informal Resolution:

Before initiating any formal legal proceedings, you agree to contact our support team first at support@myjoyfullday.com to attempt to resolve the dispute informally. We will make a good faith effort to address your concerns, investigate any issues you raise, and work toward a mutually acceptable resolution. We will attempt to respond to your initial contact within a reasonable time (typically within 5-7 business days) and work to resolve the dispute within 30 days of your initial contact, though complex issues may require additional time. Many disputes can be resolved through communication – for example, billing questions can often be clarified, service issues can be addressed through technical support, and misunderstandings can be cleared up through dialogue. Only if we are unable to resolve the dispute through informal means should formal dispute resolution procedures be initiated.

Binding Arbitration:

If a dispute cannot be resolved informally, you and My Joyfullday agree that any disputes, claims, or controversies arising out of or relating to these Terms, your use of the Platform, or the relationship between you and My Joyfullday will be settled by binding arbitration rather than in court. Arbitration is a private dispute resolution process where a neutral arbitrator (rather than a judge or jury) hears both sides and makes a binding decision. Arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA), which provide procedures for selecting arbitrators, conducting hearings, and rendering decisions. Arbitration will occur in San Francisco, California, unless both parties agree to a different location. Each party bears its own arbitration costs, including attorneys' fees, though the arbitrator may award costs and fees to the prevailing party in certain circumstances as permitted by law.

Class Action Waiver:

You agree to resolve disputes with My Joyfullday individually, meaning you will not join or participate in class action lawsuits, class-wide arbitrations, or other collective or representative proceedings against us. You waive the right to participate in class actions, which are lawsuits where a group of people with similar claims sue together as a single group. You waive the right to class-wide arbitration, which would involve multiple parties arbitrating similar claims together. This waiver means that if you have a dispute with My Joyfullday, you must pursue it individually rather than as part of a group, which helps keep dispute resolution efficient and focused on individual circumstances. However, this waiver does not apply where prohibited by law – some jurisdictions do not allow class action waivers, and in those cases, you may retain the right to participate in class actions despite this provision.

Exceptions to Arbitration:

Not all disputes are subject to arbitration. Small claims court actions are permitted, meaning if your claim is small enough to be heard in small claims court (typically claims under a certain dollar amount, which varies by jurisdiction), you can pursue it there instead of through arbitration. Intellectual property disputes, such as claims involving copyright, trademark, or patent infringement, may be litigated in court rather than arbitrated, as courts may be better equipped to handle complex IP matters. Either party may seek injunctive relief (court orders requiring or prohibiting certain actions) in court to prevent irreparable harm, such as stopping the distribution of infringing content or preventing misuse of confidential information. Government enforcement actions, such as investigations or lawsuits brought by regulatory agencies, are not subject to this arbitration agreement, as government entities are not bound by private arbitration clauses.

12. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of the State of California, United States, regardless of where you are located or where you use My Joyfullday. This section establishes the legal framework that applies to our relationship and determines which laws and courts will handle any disputes that cannot be resolved through arbitration.

Choice of Law:

California law applies to these Terms and your use of My Joyfullday without regard to conflict of law principles, meaning that even if you are located in another state or country, California law will govern the interpretation and enforcement of these Terms. This provides consistency and predictability in how our Terms are applied across all users. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms, as that convention is designed for international sales of goods and does not apply to software services or digital platforms like My Joyfullday.

Jurisdiction:

For any disputes that are not subject to arbitration (such as intellectual property claims, small claims court actions, or injunctive relief proceedings), the courts located in San Francisco County, California have exclusive jurisdiction, meaning that any lawsuits must be filed and heard in San Francisco County courts rather than in courts in your local jurisdiction. By using My Joyfullday, you consent to personal jurisdiction in these California courts, meaning you agree that California courts have the authority to hear cases involving you and My Joyfullday. You waive any objections to venue in these courts, such as arguments that the case should be heard elsewhere because it would be more convenient for you or because the events giving rise to the dispute occurred in a different location.

International Users:

These Terms apply globally to all users of My Joyfullday, regardless of where you are located. However, you are responsible for ensuring that your use of My Joyfullday complies with all applicable local laws, regulations, and restrictions in your jurisdiction. For example, if your country has specific data protection laws, privacy requirements, or restrictions on certain types of content or communications, you must comply with those laws when using our Platform. Some features of My Joyfullday may not be available in all jurisdictions due to legal restrictions, technical limitations, or business decisions – for instance, certain payment methods, vendor marketplace features, or messaging integrations may be limited in some regions. We reserve the right to restrict access to My Joyfullday from certain regions if required by law, if we are unable to comply with local regulations, or if we determine that providing service in a particular region poses unacceptable risks.

Export Compliance:

If you are located outside the United States, you agree to comply with U.S. export control laws and regulations when using My Joyfullday. U.S. export laws restrict the export and re-export of certain technologies, software, and services to certain countries, entities, and individuals. You will not access or use My Joyfullday from any country or region that is subject to U.S. embargoes or trade sanctions, such as Cuba, Iran, North Korea, Syria, or the Crimea region, as doing so would violate U.S. export laws. You represent and warrant that you are not on any U.S. government restricted parties list, such as the Specially Designated Nationals (SDN) list maintained by the Office of Foreign Assets Control (OFAC), as transactions with individuals or entities on these lists are prohibited. If you violate export compliance requirements, we may immediately terminate your account and you may be subject to legal penalties.

13. Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, business practices, or to improve clarity and accuracy. This section explains how we notify you of changes, what your options are if you disagree with changes, and how changes take effect.

How We Notify You:

14. General Provisions

These general provisions apply to the entire agreement between you and My Joyfullday and help ensure that the Terms are interpreted and enforced consistently and fairly. They address how the Terms relate to other agreements, what happens if parts of the Terms are invalid, and various other legal matters that apply across all sections.

Entire Agreement:

These Terms of Service, together with our Privacy Policy and any other policies or agreements we reference, constitute the entire agreement between you and My Joyfullday regarding your use of the Platform. They supersede all prior agreements, understandings, negotiations, and communications between you and My Joyfullday, whether written or oral, relating to the subject matter of these Terms. This means that if you had previous discussions with us about how the Platform works or what rights you have, those discussions are replaced by these written Terms. Oral modifications or side agreements are not binding unless they are later reduced to writing and signed by both parties. Any written modifications to these Terms must be signed by authorized representatives of both you and My Joyfullday to be effective, ensuring that changes are deliberate and documented.

Severability:

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, valid, and legal, or if modification is not possible, it will be severed from the Terms. The remaining provisions of the Terms will continue in full force and effect, meaning that if one section is invalid, the rest of the Terms remain valid and enforceable. This ensures that if a court finds one part of the Terms problematic (perhaps due to a change in law or a specific interpretation), the entire agreement does not become void, and we can continue operating under the valid portions.

Waiver:

If we fail to enforce any right or provision of these Terms, that failure does not constitute a waiver of that right or provision, meaning we can still enforce it in the future. For example, if we do not immediately take action against a minor Terms violation, that does not mean we have given up our right to enforce that provision later or against other violations. Assignment:

If such circumstances occur, the affected party will use reasonable efforts to resume performance as soon as practicable and will notify the other party of the delay. However, this provision does not excuse payment obligations – you remain responsible for paying subscription fees even if temporary service disruptions occur due to force majeure events.
